Terms of Service for Rolling Monthly Contract
1. Introduction
These Terms of Service ("Agreement") govern the provision of web services, including hosting and management, by Whamos Ltd (the "Provider") to the Client. By engaging with the Provider's services, the Client agrees to be bound by these terms.
2. Services Provided
The Provider agrees to deliver web services as outlined in the scope of work, including but not limited to website hosting, maintenance, and management. Any additional services must be agreed upon in writing and may incur additional fees.
3. Term of Agreement
This Agreement operates on a rolling monthly basis, commencing on the date services are first provided.
4. Payment Terms
Invoices will be issued monthly in advance for the agreed services. Payment is due within 30 days of the invoice date. Late payments will incur a late payment fee of 20% of the outstanding amount if the payment is not received within 30 days from the invoice date.
5. Cancellation of Services
Either party may terminate this Agreement by providing a minimum of 30 days' written notice to the other party. All outstanding payments for services rendered must be settled before termination.
6. Responsibilities of the Provider
The Provider agrees to ensure the availability and performance of web hosting services, subject to reasonable downtime for maintenance, and to provide management and support services as outlined in the agreed scope of work.
7. Responsibilities of the Client
The Client agrees to provide all necessary information, content, and access required for the delivery of services, and to ensure timely payment of all invoices as per the payment terms outlined in this Agreement.
8. Liability
The Provider will not be held liable for any indirect, incidental, or consequential damages resulting from the use or inability to use the provided services.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.
10. Amendments
The Provider reserves the right to amend these Terms of Service with 30 days' notice to the Client. Continued use of the services after such amendments constitutes acceptance of the new terms.
11. Force Majeure
The Provider shall not be held responsible for any delay or failure to perform its obligations under this Agreement due to circumstances beyond its reasonable control.
12. Entire Agreement
This Agreement constitutes the entire understanding between the Provider and the Client regarding the services provided and supersedes all prior agreements, representations, or understandings.
13. Acceptance
